Excerpt from the Book

3.1.2 Dissolution of the Zaibatsu

Zaibatsu describes a large capitalist enterprise of Japan in the prewar time and is similar to cartels or trusts. The Zaibatsu is a family based, large industrial and financial vertically integrated business conglomerates. A single Zaibatsu might operate firms in almost all important areas of economic activities, which makes them suspicious of monopolies and forbidden business practices which is on the one hand inefficient and on the other hand a form of corporatocracy and thus inherently anti-democratic. Moreover, they are often treated preferably by the government through lower taxes and receiving huge funds to be able to expand. Zaibatsu promotes the concentration of semi-feudal relationship between workers and management, kept wages low, stagnated further labor union development, hindered the creation of start-ups, and ultimately the growth of the whole economy.

The dissolution breaks up large companies which helps new enterprises to be established and be more flexible and competitive regardless of if they belonged to a Zaibatsu group. It has an important power and influence of Japan’s military and with that it is an obstacle in the democratizing of the country’s business society too, as it is considered by the SCAP. The intention is to break up the military psychologically and institutional. This is an important contribution to the miracle, as less money is spent on the military and defense forces.

In order to achieve the goals, the Allied occupation orders the dissolution of the Zaibatsu to remove their control over significant parts of the economy. Stock owners are liquidated. In 1947, the SCAP issues the antitrust law which establishes the fair trade commission. Later on, the antitrust law is revised to loosen regulations on monopolies. The fair trade commission power of the commission is compensated by activities of ministries such as the MITI, which anyway do not have the same influence in Japan as in the US. Meanwhile, the dissolution of Zaibatsu companies and other enterprises are restructured into keiretsu, which are groups out of banks, manufacturers, suppliers, and distributors.
